Terms of Use

1. Scope and service

These terms apply to the Windows app, accounts, entitlement verification and related web services (collectively, the Service) provided by the service provider for ShortMVStudio (the Provider). Contact details appear in the commercial transaction disclosures.

ShortMVStudio is software for creating short music videos with 3D models, motions and other materials supplied by users. It does not grant all permissions to use those materials or publish videos on distribution platforms. Separately stated material or paid subscription conditions take precedence only for their applicable subject matter.

Review and agree to the published terms before registering or using the Service. Minors require consent from their legal representative.

At registration, we record the agreed Terms of Use and Privacy Policy version, hashes identifying each document's text, and consent time linked to your account. The Privacy Policy explains further handling.

2. Account management

Registration requires an email address controlled by the user and confirmation of that address. Keep registration details accurate. Do not share, lend or transfer passwords or authentication information to others. Impersonation, registration in another person's name, and multiple accounts intended to obtain quota improperly are prohibited.

If you discover misuse or a leak, change your password promptly and contact the Provider. Section 13 defines the Provider's liability for the Service.

3. Permitted use and plan eligibility

Free and Creator are for VTubers or other performers themselves to create videos for their own official activities. Independent and agency-affiliated users may use them for their own posts, streams and monetized activities.

Agency staff, managers and official video staff operating on a performer's behalf must ask about Operator in advance. Operator is planned to be offered through inquiry and individual review; numbers of performers, seats, quota and other conditions are stated in writing or email before application. The displayed standard price alone does not form a contract.

All plans, including Free, Creator and Operator, prohibit commissioned production and delivery of videos for third parties. Operator does not authorize commissioned production. Ask before use if the permitted scope is unclear.

4. Pricing and VMD Credits

Free and Creator share creation features, presets and export quality. They differ in VMD quota per period and the presence of a watermark.

VMD Credits count unique VMDs registered in a usage period, not videos or export counts. Reuse of a VMD with identical file contents by the same account within the same period does not use another credit. Changed file contents may be treated as a different VMD.

Unused quota and VMD registrations within the Service end with the period and do not carry over. First use of the same VMD in the next period also uses one slot. Renewal does not change the material's copyright or license, or uniformly prohibit use of previously lawfully exported videos.

5. Creator subscriptions, payment and renewal

Creator becomes active after you review the monthly price, automatic renewal, service period and cancellation conditions on the application screen and complete payment. You are charged by the displayed method at signup and on later renewal dates. There is no minimum subscription length. Each period starts and ends at the times shown on the account screen.

Users bear connectivity, device, imported material purchase and usage costs. The Service fee alone does not purchase rights to other people's materials, music or models.

Creator entitlement is not granted for periods with unconfirmed payment. Payment received after a delay generally applies to the period covered by the invoice; it does not begin a new month from the payment date. Check the displayed resumption date and applicable period.

6. Cancellation, refunds and service defects

Cancel Creator's automatic renewal through Plan & payments in your account. Confirm that scheduled cancellation appears on screen. Creator remains available until the paid period ends, then you move to Free. Undoing scheduled cancellation does not replenish the period's VMD quota.

Voluntary cancellation partway through a period generally does not receive a prorated refund. For duplicate charges, inability to provide the paid service attributable to the Provider, serious nonconformity with the contract, or other legal rights, we review the circumstances and take appropriate action such as repair, alternative provision, period adjustment or refund.

If a cancellation screen failure prevents cancellation, contact support before renewal. We review records and make appropriate adjustments if a system failure prevented cancellation. These terms do not restrict statutory rights to rescission, termination, damages or similar remedies.

7. Online verification and offline use

Internet access is required for registration, sign-in, entitlement renewal, new VMD registration and payment. Verified entitlements generally allow offline use for up to 24 hours after the last verification and no later than the end of the usage period. This does not guarantee an extra 24 hours or entitlement across periods.

Device time, a modified app, an invalid account or other conditions may prevent entitlement verification and some operations. Changing time to bypass verification, forging entitlement data, and altering registration information or authentication processing are prohibited.

8. Rights to imported materials and exported videos

Rights to user-imported VRM, VMD, audio, images and other materials remain with the user or rightful owner. Using the Service alone does not transfer their copyright to the Provider. Nor does the Provider require a blanket transfer of rights to user-created videos.

Check each material's terms for commercial use, monetization, modification, redistribution, credits and publication destinations. A Service plan does not override those conditions. Follow any separate credit requirements for included presets or materials.

You may publish lawfully exported videos for your own activities permitted by these terms or approved Operator use. Extracting stages, textures, programs, presets or other app content to sell or redistribute as material collections is prohibited. Removing or concealing the Free watermark to bypass export conditions is also prohibited.

9. Software protection and prohibited conduct

Rights to the Service's software, design and included materials belong to the Provider or respective rights holders. Users receive a nonexclusive, nontransferable right to use them within these terms and individual conditions. Stated third-party licenses apply to third-party libraries and similar components.

• Unauthorized distribution, sale or lending of the app, authentication information or entitlement data, and creation or provision of pirated copies.
• Bypassing authentication, billing or credit limits; forging signatures or communications; or unauthorized access to other accounts.
• Extracting, decompiling, analyzing or modifying programs or included materials to provide a copied product, except conduct permitted by law or applicable third-party licenses.
• Excessive automated access, exploitation of vulnerabilities, interference with operations, infringement of others' rights, or creation or publication of illegal content.

Report vulnerabilities through the contact point. This provision does not categorically exclude lawful exercise of rights, legally permitted research or interoperability work.

10. Beta provision and changes

The beta is a stage in which features, display, supported systems and storage formats are being adjusted. Bugs and specification changes may occur. Operation with every device or material, or full compatibility with future versions, is not guaranteed. Known issues and significant changes are announced on the official website or similar channels.

Except in emergencies, we give reasonable advance notice of adverse changes to core paid-period services or service termination. For paid portions we can no longer provide, we explain alternatives or settlement of unprovided portions individually. Beta status alone does not exempt the Provider from responsibility under paid contracts.

11. Restrictions and termination

For violations of these terms, misuse, nonpayment or security issues, use may be restricted to a necessary and reasonable extent. Except where urgent harm prevention is needed, we state the reason and allow an opportunity to explain or correct it. Contact support to request review of a suspected incorrect determination.

Contact support to request account deletion. We process it after identity verification. We coordinate deletion with termination of paid subscriptions and check that unnecessary recurring charges do not remain afterward. Account deletion does not automatically delete local projects, materials or exported videos.

12. Information handling and contact

We handle account, entitlement and payment information under the separate Privacy Policy. User-imported models, motions and audio are not used for the Provider's AI training or as inputs for background generation.

13. Liability

The Provider provides the Service with reasonable care and responds to defects or incidents according to their cause and impact. The Provider is not liable for damage not attributable to it, including problems caused by users' devices or third-party materials.

Except for intentional misconduct or gross negligence by the Provider, damages cover direct and ordinary losses attributable to the Provider; losses from special circumstances are addressed to the extent required by law. Liability is not excluded or limited contrary to Japan's Consumer Contract Act or other mandatory laws.

14. Changes to these terms and governing law

Changes to these terms are announced in advance on the official website or similar channels with their content, reason and effective date. Changes requiring legal consent are applied after obtaining it. Price increases are not unilaterally applied retroactively to already paid periods.

Japanese law governs these terms. Disputes are first addressed through good-faith discussion; unresolved disputes are subject to jurisdiction determined by law. If a provision is invalid, the remaining provisions stay effective.
